Terms of Service

These terms govern the Dynamics 365 support plans offered by GMT-ERP. Please read them before taking out a plan.
1. Who we are
GMT-ERP is an independent freelance Microsoft Dynamics 365 consultancy based in Kuwait, serving clients worldwide. You can reach us at info@gmt-erp.com or +965 6039 3853.
2. Scope of services
A support plan provides remote support, configuration and advisory services for your Microsoft Dynamics 365 environment — Business Central and/or Finance and Operations. This includes troubleshooting, system configuration, user support, report adjustments and functional guidance.
Custom development, new module implementations, data migration and integration projects are not included in a support retainer. That work is scoped, quoted and agreed separately in writing as a Statement of Work (SOW) before it begins.
3. Plans, hours and overage
Support is provided on a monthly retainer. Each plan includes a fixed allocation of hours per calendar month:

- Unused hours do not roll over. They are forfeited at the end of each calendar month.
- Work beyond the included hours is billed at $80 per hour, and only with your prior written approval. We will tell you once 80% of your included hours are used.
- An annual prepayment option is available: pay for ten months and receive twelve.
4. Response times
Response time means the time to acknowledge a request and begin assessing it. It is not a guarantee of resolution time, which depends on the complexity of the issue and on third parties, including Microsoft platform behaviour. Support is provided during our stated working hours, excluding public holidays in our jurisdiction.
5. Payment
Support plans are arranged directly with us. Once we have agreed a plan, we issue an invoice for the monthly retainer, payable in advance by bank transfer before the service month begins. Invoices are payable within fourteen days of the invoice date.
Prices are shown in US dollars and are exclusive of any taxes, duties or levies, which are your responsibility where legally required. Bank charges and intermediary fees are borne by you.
If a payment fails, we may suspend services after seven days of written notice of non-payment, until the account is brought current.
6. Cancellation and refunds
You may cancel at any time. Your subscription then stops renewing at the end of the current paid month. Refund eligibility is set out in full in our Refund and Cancellation Policy.
7. Your responsibilities
- Provide timely, secure and appropriate access to the relevant Dynamics 365 environments and any systems reasonably required to perform the services.
- Designate a primary contact authorised to submit and approve support requests and out-of-scope work.
- Maintain valid Microsoft licences and subscriptions. We are not liable for issues arising from lapsed or insufficient licensing.
- Maintain your own backups, and ensure the accuracy and legality of data in your environment.
8. Access and security
We access your systems only as necessary to deliver the services, and follow your reasonable security policies where notified in advance. Remote access uses secured connections. We do not copy, retain or transmit your production data beyond what is necessary to perform the services. We are happy to sign a non-disclosure agreement before any access is granted.
9. Confidentiality
Each party may receive confidential information from the other. The receiving party will keep it confidential, use it solely for the purposes of the engagement, and not disclose it without prior written consent. These obligations survive termination for three years, except for trade secrets, which remain protected for as long as they qualify as such. This does not apply to information that becomes public through no fault of the receiving party, or that must be disclosed by law.
10. Intellectual property
Configuration and any custom code or deliverables specifically developed and paid for by you under an SOW belong to you upon full payment. We retain ownership of our pre-existing tools, templates, methods and general know-how, and grant you a non-exclusive licence to use those materials to the extent they are embedded in the deliverables.
11. Warranties and disclaimer
We warrant that services will be performed with reasonable skill and care consistent with professional standards. Except as expressly stated, services are provided as is. We do not warrant uninterrupted or error-free operation of your Dynamics 365 environment, which depends on Microsoft and other third parties.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data. Our total aggregate liability will not exceed the total fees paid by you in the three months preceding the event giving rise to the claim. Nothing here limits liability that cannot be excluded by law.
13. Term and termination
Subscriptions run on a monthly rolling basis. Either party may terminate for convenience as described in section 6. Either party may terminate immediately for a material breach that is not remedied within fourteen days of written notice. On termination you remain liable for services already rendered and approved expenses already incurred.
14. Independent contractor
We act as an independent contractor, not as your employee, partner or agent. Nothing in these terms creates an employment or joint-venture relationship. We are responsible for our own taxes, insurance and statutory obligations.
15. Force majeure
Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including outages of third-party platforms, internet failures, natural events or governmental action.
16. Relationship to a signed agreement
Where you and we have signed a separate Dynamics 365 Support and Services Agreement, that agreement governs the engagement and prevails over these terms in the event of any conflict. These terms apply to plans purchased through this website.
17. Governing law
To be confirmed. A governing law and dispute-resolution jurisdiction has not yet been specified for these terms. Until it is, any dispute will be resolved by good-faith negotiation in the first instance. Please contact us at info@gmt-erp.com.
18. Changes to these terms
We may update these terms from time to time. The date above reflects the current version. Material changes affecting an active subscription will be notified by email before they take effect.
